Article 1 – Définitions

Dans le cadre des présentes conditions générales de vente (ci-après les « CGV ») :

  • le terme « Client(s) » signifie le client (consommateur particulier ou professionnel) de la société BIGWAX DISTRIBUTION et du site internet bigwax.io (ci-après le « Site ») qui est obligatoirement (i) une personne morale de droit français dûment enregistrée, ou (ii) une personne physique majeure dotée de la pleine capacité juridique et du plein droit de contracter, ou (iii) une personne physique non majeure émancipée dotée de la pleine capacité juridique et du plein droit de contracter.
  • le terme « Partie(s) » signifie le Client et/ou la société BIGWAX DISTRIBUTION;
  • le terme « Prestation(s) » signifie l’ensemble des prestations qui seront exécutées par la société BIGWAX DISTRIBUTION pour le(s) Client(s), telles que : la vente de Produit(s), le suivi de commande, l’envoi de Produit(s) au(x) Client(s), le service après-vente, etc ;
  • le terme « Produit(s) » signifie l’ensemble des produits mis en vente sur le Site internet de la Société susceptibles d’être livrés au Client ;
  • le terme « Société » défini la Société BIGWAX DISTRIBUTION, société à responsabilité limitée à associé unique au capital social de 7.622,45 euros, dont le siège social est situé 26, rue Blaise Pascal à Niort (79000), immatriculée au registre du commerce et des sociétés de Niort sous le numéro 429 734 494, représentée par son Gérant, Monsieur Grégory Pezard ;

Article 2 – Généralités

Les CGV en vigueur sont celles figurant sur le Site au jour de la commande.

Elles régissent les relations contractuelles entre la Société et ses Clients.

Avant toute utilisation du Site et passation de commande de Produits mis en ligne par la Société, le client devra créer un compte client conformément à la procédure indiquée à l’article 6 des CGV détaillé ci-après.

Le Client reconnaît avoir pris connaissance, au moment de la passation de commande, des présentes CGV, et déclare les accepter sans réserves.

Il appartient au Client de consulter et d’accepter les présentes CGV avant tout paiement et toute validation de commande en cochant la case « j’accepte les conditions de vente » au moment du récapitulatif de sa commande, étant précisé que les présentes CGV sont accessibles par simple clic sur le lien hypertexte situé juste à côté de ladite case devant être cochée.

Les Parties reconnaissent que l’ensemble de leurs relations seront exclusivement régies par les présentes CGV et sauf dérogation préalable, expresse et écrite, ces CGV prévaudront sur toutes autres conditions figurant dans tout autre document émis par la Société.

Les présentes CGV sont susceptibles d'être modifiées à tout moment par la Société.

La Société se réserve le droit d’annuler ou de refuser toute commande d’un Client avec lequel il existerait un litige relatif à une commande antérieure.

Article 3 – Objet

Les présentes CGV régissent la vente de Produits mis en ligne par la société BIGWAX DISTRIBUTION, société à responsabilité limitée à associé unique au capital social de 7.622,45 euros, dont le siège social est situé 26, rue Blaise Pascal, 79000 Niort, immatriculée au registre du commerce et des sociétés de Niort sous le numéro 429 734 494, représentée par son Gérant, Monsieur Grégory Pezard (ci-après « BIGWAX DISTRIBUTION », le « Vendeur » ou la « Société »), et sont conclues entre, d’une part, la société BIGWAX DISTRIBUTION, et d’autre part ses utilisateurs et Clients qui souhaitent effectuer un achat des Produits mis en vente sur le site internet « Bigwax » (bigwax.io) (ci-après, le « Site ») (la Société et le Client, ci-après ensemble les « Parties »).

Elles définissent les conditions de vente de la Société et plus particulièrement l’ensemble des droits et obligations des Parties dans le cadre de la vente de Produits aux Clients du Site par la Société.

La Société se réserve le droit de modifier les présentes CGV à tout moment et en cas de modification, toute nouvelle commande se verra appliquer les CGV en vigueur au jour de la passation de commande, dès lors qu’elles auront été préalablement notifiées au Client et acceptées par celui-ci.

Dans le cas où une des clauses des présentes CGV venait à ne pas pouvoir être appliquée, le Client et la Société reconnaissent que leurs relations seront régies par les pratiques et les usages reconnus comme étant en vigueur dans le secteur de la vente à distance par la loi, la doctrine et la jurisprudence françaises, que les parties reconnaissent comme étant expressément applicables aux présentes CGV.

Article 4 – Produits mis en vente

La Société met en vente des Produits de type vinyles, CDs, supports phonographiques, vêtements, sérigraphie et plus généralement tous types de produits et de marchandises liés à l’univers musical et artistique.

Article 5 – Disponibilité des Produits mis en vente

Les Produits mis en vente sur le Site par la Société ne sont valables que tant que l’offre reste en ligne sur le Site de la Société, étant précisé que les Produits restes en ligne jusqu’à épuisement des stocks.

La responsabilité de la Société ne saurait être engagée si un Client venait à passer une commande d’un Produit indisponible, étant précisé que la Société ne peut garantir au Client le maintien des Produits en vente sur le Site pendant une période donnée et que dans le cas où un Client passerait une commande d’un Produit indisponible avant son retrait de la vente par la Société, celle-ci préviendra alors le Client par email afin de l’avertir de l’indisponibilité du Produit commandé et de l’annulation de commande.

Dans le cas où la commande passée par le Client comporterait plusieurs Produits, la Société s’engage à n’annuler que la commande du Produit indisponible et à envoyer au Client les autres Produits commandés.

Si un Client venait à passer une commande d’un Produit indisponible, la Société s’engage, au choix du Client, soit (i) à le rembourser intégralement du montant de la commande passée, soit (ii) à lui faire parvenir par mail un avoir du montant intégral de la commande passée ce, dans un délai de trente (30) jours à compter de l’annulation de la commande par la Société.

Article 6 – Processus de passation de la commande

Les commandes s'effectuent :

  • Sur Internet, via le Site bigwax.io ;
  • Par email à l’adresse order@bigwax.io ;
  • Par téléphone, du Lundi au Vendredi de 10h00/13h00 et de 14h00 à 18h00, au +33-(0)9-50-14-23-28 ;
  • Par courrier adressé à la Société au 87, rue du Faubourg du Temple, 75010 Paris.

Toute passation de commande de Produits mis en vente par le Société par le Client devra se faire dans le respect par celui-ci du processus suivant :

  1. Le Client effectuera son choix parmi le ou les Produits qu’il souhaite acheter et le(s) sélectionnera en cliquant sur le bouton « Ajouter au Panier » ;
  2. Le Client aura ensuite la possibilité de vérifier sa commande en cliquant sur le bouton « Mon panier » ;
  3. Un récapitulatif de la commande sera alors proposé au Client détaillant l’ensemble des Produits qu’il aura commandé ainsi que le montant des frais de port selon le mode de livraison afférents à la commande choisis par le Client ;
  4. Une fois ces premières étapes validées et le récapitulatif de sa commande vérifié par le Client, celui-ci devra alors renseigner les informations qui lui seront demandées par la Société dans le formulaire correspondant, à savoir : son nom, son prénom, ses coordonnées (pays, adresse, code postal, ville, téléphone) et son adresse email ;
  5. Le Client validera ensuite sa commande du ou des Produits qu’il aura préalablement ajouté à son panier en cliquant sur le bouton « Next step » (« Étape suivante »), afin de respecter la procédure dite du « double clic » ;
  6. Une fois cette nouvelle étape validée, une page « Checkout » récapitulant la commande du Client apparaîtra et le Client devra alors vérifier consciencieusement que toutes les informations relatives à sa commande sont exactes (notamment ses informations de livraison). Sur cette même page, le Client devra alors cocher la case « J’accepte les conditions de vente », étant précisé qu’en appuyant sur ce bouton, le Client reconnait avoir eu pleine et entière connaissance des CGV de la Société, disponibles par simple clic sur le lien hypertexte « Conditions de vente » situé juste à côté. Le Client reconnait de ce fait avoir été informé et avoir accepté les présentes CGV. Le Client aura également la possibilité de refuser de recevoir la Newsletter de BigWax en décochant la case « J’accepte de recevoir la newsletter de BigWax » ;
  7. Une fois cette étape validée, le Client devra alors cliquer sur le bouton « Paypal » afin de procéder au paiement ;
  8. Le Client garantit à la Société qu’il est parfaitement habilité à utiliser le moyen de paiement sélectionné à savoir Paypal. De plus, la Société ne pourra en aucun cas être tenue responsable des éventuels litiges entre le Client et la Société Paypal, étant précisé que les conditions générales d’utilisation de Paypal seront applicables au Client pour toute la procédure de paiement.
  9. Une fois la commande validée, le Client recevra alors un email de confirmation récapitulant la commande à l’adresse mail qu’il aura préalablement indiquée.

Article 7 – Prix

Les prix des Produits mis en vente sur le Site sont exprimés en euros et comprennent la taxe sur la valeur ajoutée (TVA) française en vigueur au moment de l’enregistrement de la commande, hors frais de transport et de livraison et hors éventuels frais de traitement ou éco-participations, qui sont eux indiqués au Client au moment de la commande et qui devront, le cas échéant, être payés en sus.

Concernant les frais d’expédition et de livraison, ceux-ci sont indiqués au Client lors du passage de la commande, avant la validation et le paiement de celle-ci, et sont inclus dans le prix total à payer par le Client.

La Société se réserve le droit de clôturer temporairement ou définitivement le compte du Client en cas de non-respect par celui-ci des présentes CGV concernant le paiement du prix de la commande passée auprès de la Société, notamment en cas de fraude ou de tentative de fraude par le Client ou de tout incident de paiement, de réclamer à celui-ci tout paiement de dommages et intérêts qu’aurait pu entrainer un tel comportement, et de refuser toute nouvelle commande à un Client avec lequel il existerait un litige en cours.

La Société se réserve le droit de modifier à tout moment ses prix. Cette modification sera signalée avant toute nouvelle commande, et les Produits seront facturés sur la base du tarif en vigueur au moment de la validation de la commande par le Client.

Seul les prix affichés sur le Site font foi entre les Parties.

Les Produits demeurent la propriété de la Société jusqu’au complet encaissement du prix par la Société.

Article 8 – Modes de paiement et paiement

Pour régler sa commande, le Client dispose des modes de paiement suivants :

– Espèces : le Client pourra procéder au paiement de sa commande en espèces en déposant son paiement à la Société à l’adresse suivante : 87, rue du Faubourg du Temple - 75010 – Paris, étant précisé que ce paiement n’engendrera aucun paiement de frais de livraison par le Client ;

– Cartes bancaires : dans le cadre de la procédure de paiement prévue par Paypal, toutes les cartes bancaires acceptées par Paypal, telles que celles-ci sont détaillées dans les conditions générales d’utilisation de Paypal sont susceptibles d’être acceptées ;

– Chèque : tout paiement peut se faire par chèque adressé à la Société et doit être accompagné d'une photocopie de la carte d'identité du Client et des références de la commande. Ce chèque devra être libellé à l'ordre de BIGWAX DISTRIBUTION et envoyé à l'adresse suivante : BIGWAX DISTRIBUTION - 26, rue Blaise Pascal - 79000 – Niort. Seuls les chèques rattachés à un établissement bancaire situé en France sont acceptés. Dans le cas où le Client souhaiterait payer par chèque, celui-ci devra informer la Société au préalable par mail ou par téléphone et la commande du Client sera réservée par la Société jusqu'à réception dudit chèque et validation de la commande par la Société. En l'absence de réception de chèque passé un délai de sept (7) jours, la commande du Client sera alors annulée par la Société sans que la responsabilité de celle-ci puisse être recherchée. La mise en encaissement du chèque sera réalisée à réception. La Société se réserve le droit de ne pas valider la commande du Client et a fortiori de ne pas procéder à sa livraison tant que l'encaissement du chèque n'est pas effectif ;

– Virement bancaire : tout paiement peut se faire par virement bancaire adressé à la Société. Dans le cas où le Client souhaiterait payer par virement bancaire, celui-ci devra informer la Société au préalable par mail ou par téléphone et la commande du Client sera réservée par la Société jusqu'à réception dudit virement et validation de la commande par la Société. En l'absence de réception de virement bancaire passé un délai de cinq (5) jours, la commande du Client sera alors annulée par la Société sans que la responsabilité de la Société puisse être recherchée. La Société se réserve le droit de ne pas valider la commande du Client et a fortiori de ne pas procéder à sa livraison tant que le virement bancaire n'est pas effectif. Ce virement bancaire devra être envoyé aux coordonnées bancaires suivantes :

– Paiement Paypal : tout paiement peut se faire par Paypal, dans la limite de sept cent cinquante (750) euros. Pour tout paiement par Paypal, la commande du Client sera réservée par la Société jusqu'à réception dudit virement et validation de la commande par la Société. En l'absence de réception de paiement Paypal passé un délai de cinq (5) jours, la commande du Client sera alors annulée par la Société sans que la responsabilité de la Société puisse être recherchée. La Société se réserve le droit de ne pas valider la commande du Client et a fortiori de ne pas procéder à sa livraison tant que le paiement Paypal n'est pas effectif. Ce virement bancaire via Paypal devra être envoyé à l'adresse suivante : order@bigwax.io. Le Client devra préalablement avoir créé un compte Paypal, étant précisé que cette procédure sera régie directement par les conditions générales d’utilisation du site Paypal.

La Société se réserve enfin le droit de ne pas proposer un ou plusieurs modes de paiement ci-dessus indiqués pour tout motif, notamment : soupçon de commande frauduleuse, raisons techniques ou indépendantes de notre volonté, litige passé ou en cours.

Les paiements en ligne sur le Site ou par téléphone auprès de la Société sont réalisés via une plateforme de paiement sécurisée, afin de garantir la sécurité des achats effectués sur le Site et de lutter contre la fraude.

Les coordonnées et informations relatives au paiement du Client, communiquées lors de sa commande, ne transitent jamais au clair sur le réseau, et ne sont jamais divulguées ni conservées par la Société.

Article 9 – Livraison

La livraison des Produits commandés par le Client s’effectue dans le monde entier.

La livraison s’effectue par « Lettre Verte » (service proposé par « la Poste ») pour toutes les commandes passées en France métropolitaine (en ce inclut la Corse) et par porteur via le service « DHL Express 24h » pour toutes les commandes passées depuis d’autres pays que la France.

La Société ne sera en aucun cas tenue responsable pour tout dommage qui pourrait être causé ou tout litige qui pourrait survenir du fait des services proposés par la Poste ou par DHL.

En cas de livraison par un porteur nécessitant une prise de rendez-vous avec le Client, ce dernier prendra contact avec le Client dans les plus brefs délais. La Société ne pourra être tenue responsable d'un retard de livraison faisant suite à une indisponibilité du Client après plusieurs prises de rendez-vous faites par le transporteur.

Les conditions, coûts et délais sont différents selon le mode et/ou le lieu de livraison choisi, et peuvent donner lieu à une facturation complémentaire. Cette information et le montant total de la commande sont clairement indiqués au moment du choix du mode et moyen de livraison et sur la page de récapitulatif de commande, ainsi que lors de sa validation.

Les Produits livrés par porteur sont obligatoirement remis contre signature.

A titre purement indicatif, les délais de livraison varient selon le pays de destination. Ils sont généralement de deux (2) à trois (3) jours ouvrés pour la France, trois (3) à sept (7) jours ouvrés en Europe, et de une (1) à deux (2) semaine(s) dans le reste du monde.

Ces délais ne courront qu'à partir de la fourniture par le Client des éléments demandés par la Société, étant précisé que le Client devra remplir avec soin lors de la commande tous les champs du formulaire qui lui seraient réclamés pour effectuer la livraison, à savoir les coordonnées de livraison (noms, prénoms et adresse complète), ainsi que toute information qui pourrait être utile aux prestataires de services de livraison partenaires de la Société (email, téléphone, etc.).

La Société ne pourra en aucun cas être tenue responsable d’une impossibilité de livraison qui serait causée par une erreur, une imprécision ou une fausse information relative aux informations et coordonnées de livraison du Client, et, le cas échéant, toute nouvelle livraison qui pourrait devoir être à nouveau effectuée par la Société le sera aux frais du Client, qui sera susceptible de se voir contacté par email par la Société en vue du paiement de ces nouveaux frais. En cas de non-paiement de ces nouveaux frais de livraison, la Société se réserve le droit de ne pas procéder à la livraison de la commande passée.

Les éventuels retards ne donnent droit au Client ni d'annuler la vente, ni de refuser la marchandise, ni de réclamer des dommages et intérêts.

Article 10 – Réception des Produits et transferts des risques et de la propriété

Sauf stipulation contraire expresse, le transfert de possession des marchandises entraînera de plein droit le transfert du risque.

Les Produits sont livrés à l'adresse indiquée par le Client au moment de la commande. La Société décline toute responsabilité en cas de dépassement des délais de livraisons qui seraient dus aux services des transporteurs, en cas de perte des Produits commandés imputables aux services des transporteurs, en cas de grève des services des transporteurs, étant entendu que les risques du transport des Produits sont supportés par le Client qui, en cas de litige, devra formuler une réclamation motivée auprès des services du transporteur concerné.

Dans tous les cas, il appartient au Client d'effectuer à réception des Produits, en présence du transporteur ou du livreur, les contrôles de conformité et réserves auprès du transporteur ou du livreur dans les conditions requises par la loi. Le Client doit vérifier et notifier au transporteur et à la Société toutes réserves sur le Produit livré (colis endommagé, déjà ouvert, emballage ou Produit manquant, etc.), et apposer toutes réserves manuscrites sur le bon de livraison.

En cas de doute sur l'état du colis, ou en cas de problème avec le colis et/ou les Produits livrés, le Client devra contacter la Société par email à l'adresse order@bigwax.io ou par téléphone au +33-(0)9-51-01-10-15, afin de trouver une solution adéquate ou, le cas échéant, procéder à une nouvelle fabrication et livraison ou à un remboursement si les conditions prévues dans les présentes CGV sont remplies.

Le Client ne sera propriétaire des Produits commandés qu'à compter du paiement complet du prix, en principal, frais et accessoires.

Article 11 – Droit de rétractation

Conformément aux articles L. 121-20 et suivants du Code de la Consommation français, le Client bénéficie d’un droit de rétractation et de la possibilité de retourner les Produits commandés sur le Site de la Société ce, pendant un délai de quatorze (14) jours francs à compter de la date de livraison de la commande, étant précisé que le cachet de la Poste (ou le cas échéant, de DHL) fera foi.

En cas d’exercice par le Client de ce droit, les Produits devront être obligatoirement renvoyé par le Client à la Société, à ses frais, par la Poste ou par porteur (de type DHL ou UPS) à l’adresse suivante :

Les Produits renvoyés par le Client devront l’être dans leur état d’origine, à savoir dans leur état neuf dans l’emballage dans lequel ils auront été livrés par la Société.

Une fois les Produits reçus conformes par la Société dans le délai imparti, la Société remboursera alors automatiquement le Client en (i) créditant le compte Paypal ayant servi au paiement ou (ii) renvoyant un chèque à l’adresse du Client ce, dans un délai de trente (30) jours à compter de la réception par la Société de la demande de rétractation relative aux Produits commandés par le Client, étant précisé que le remboursement du prix comprendra le prix des Produits commandés par le Client, mais pas les frais de livraison, que ce soit ceux de la livraison par la Société au Client ou ceux du retour effectué par le Client à la Société.

Article 12 – Conformité des Produits

La Société s’engage à détailler les Produits qu’elle met en vente sur son Site le plus précisément possible. Tous les renseignements et informations relatifs aux Produits qui sont indiqués par la Société sur chacun des Produits ne sont autres que ceux qui ont préalablement été communiqués à la Société par les fournisseurs partenaires de la Société auprès desquels la Société acquière lesdits Produits.

Dans ce contexte, la Société ne saurait en aucun cas être retenue responsable du fait d’erreur(s) ou d’omission(s) relative(s) à la description des Produits mis en vente.

Les Photographies des Produits mis en vente ne sont affichés par la Société qu’à titre purement indicatif.

Dans le cas où un Produit qui aurait été commandé par le Client et livré par la Société au Client s’avèrerait non conforme, ce dernier sera alors en droit de le renvoyer à la Société ce, dans un délai maximum de trente (30) jours à compter de la réception dudit Produit non conforme.

Le cas échéant, le Client aura alors le choix entre (i) être remboursé intégralement du prix du Produit ce, dans les trente (30) jours suivant sa réclamation et le renvoi du Produit non conforme ou (ii) dans la limite des stocks disponibles, à être livré d’un nouveau Produit similaire ou identique à celui qu’il aurait commandé et qui se serait avéré non conforme, étant précisé que dans ce cas précis, les frais de retour et de l’éventuelle nouvelle livraison du Produit non conforme seront dans ce cas à la charge de la Société et seront, dans le cas où le Client aurait avancé lesdits frais, remboursés au Client ce, dans un délai de trente (30) jours à compter de la réception du Produit non conforme par la Société.

Cette garantie de conformité des Produits offerte au client s’applique en sus du droit de rétractation dont le Client bénéficie tel que celui-ci est prévu à l’article 11 des présentes CGV.

Article 13 – Responsabilité de la Société

Article 13.1 – Garanties

De base, la responsabilité de la Société est limitée à la bonne exécution de ses Prestations, conformément au contrat et/ou à la commande. Elle s’engage à les exécuter avec toute la diligence d’un professionnel, et en bon père de famille, et n'est soumis qu'à une obligation de moyen.

Le Client bénéficie néanmoins, conformément aux dispositions légales et réglementaires en vigueur, (notamment aux articles L. 211-1 à L. 212-2 du Code de la Consommation et aux article 1641 à 1649 du Code civil français) d'une garantie de défaut de conformité des Produits, d’une garantie contre les vices cachés des Produits et d’une garantie contractuelle ce, à compter de la livraison des Produits commandés et une fois le paiement complet de sa commande effectué.

Sont exclus de la garantie les produits modifiés, ou réparés par le Client ou toute personne autre que le fournisseur dudit produit.

Article 13.1.A – Garantie légale de conformité des Produits commandés

Conformément aux dispositions du Code de la consommation en vigueur, la Société est tenue de procéder à la livraison de Produits conformes au contrat de vente qu’elle a conclu avec le Client lors de la passation de la commande de Produits répertoriés sur son Site.

La responsabilité de la Société pourra donc être engagée en cas de défaut de conformité de Produits existant lors de la livraison desdits Produits au Client ce, pendant une durée de deux (2) années à compter de la délivrance desdits Produits par la Société au Client.

Dans le cas où un Produit viendrait à être déclaré non conforme dans ladite période susvisée, le Client aura alors le choix entre (i) faire réparer par la Société le Produit non conforme ou (ii) demander le remplacement du Produit non conforme auprès de la Société, qui devra dans ce cas procéder au remplacement dudit Produit non conforme, étant précisé que la Société ne sera pas tenue de respecter le choix du Client dans le cas où (i) il lui serait impossible de procéder au remplacement du Produit déclaré non conforme ou (ii) le cout de remplacement du Produit non conforme serait manifestement disproportionné au regard de la valeur du Produit.

En tout état de cause, le Client pourra (i) exiger de se faire restituer le prix du Produit déclaré non conforme qui aurait été retourné par le Client à la Société, ou (ii) exiger de se faire restituer une partie du prix du Produit dans le cas où le Client souhaiterait garder le Produit non conforme, dès lors que le Client remplit les conditions stipulées à l’article L.211-10 du Code de la consommation, à savoir : (i) si la solution demandée par le Client (c’est-à-dire la réparation ou le remplacement du Produit non conforme) ne saurait être satisfaite dans un délai d’un (1) mois suivant la demande de réclamation du Client, ou (ii) si la solution demandée par le Client ne peut être effectuée sans que le Client subisse un inconvénient majeur compte tenu de la nature du Produit ou de l’usage qu’il recherche.

Néanmoins, le remboursement du Produit déclaré non conforme ne pourrait être effectué si le défaut de conformité soulevé par le Client venait à s’avérer mineur.

Le défaut de conformité devra être signalé à la Société par le Client dans le respect des modalités de contact prévues à l’article 13.2 des présentes.

Sont exclus de la garantie les produits modifiés, ou réparés par le Client ou toute personne autre que le fournisseur dudit produit.

Article 13.1.B – Garantie légale contre les vices cachés des Produits commandés

La Société est également tenue de la garantie relative aux défauts et vices cachés des Produits vendus au Client qui rendraient ou seraient susceptibles de rendre le Produit impropre à l’usage auquel on la destine les Produits commandés.

La responsabilité de la Société pourra donc être engagée en cas de défaut de ou de vices cachés des Produits ce, pendant une durée de deux (2) années à compter de la délivrance desdits Produits par la Société au Client.

Afin de faire jouer cette garantie qui lui est offerte, le Client devra signaler à la Société tout défaut ou vice du Produit qu'il aurait commandé ce, dès son apparition en contactant le service client de la Société conformément aux modalités prévues à l’article 13.2 des présentes.

Les frais de retour des produits sont à la charge de la Société.

Dans l’hypothèse où le Client choisit le remplacement des produits dans le cadre de l’exercice de ces garanties légales, les frais d’envoi des Produits échangés seront à la charge de la Société.

Article 13.1.C – Garantie contractuelle

Certains produits peuvent donner lieu à une garantie contractuelle.

Cette garantie sera indiquée sur la fiche descriptive du Produit et il ne sera pas possible au Client de réclamer une garantie plus large que celle indiquée sur la fiche du Produit commandé.

En cas de problème avec un produit, le Client devra conserver la facture d’achat transmise par la Société et prendre contact avec son service après-vente conformément aux modalités prévues à l’article 13.2 des présentes.

Sont exclus de la garantie les produits modifiés, ou réparés par le Client ou toute personne autre que le fournisseur dudit produit.

Article 13.2 – Contact en cas de mise en œuvre des garanties susvisées.

Pour tout problème ou défaut dans la commande et pour faire jouer les garanties prévues à l’article 13 des présentes CGV, le Client s’engage à effectuer les réserves nécessaires auprès de la Société ce, dès l’apparition du défaut ou du vice sur le Produit, en contactant son service après-vente par mail à l'adresse order@bigwax.io ou par téléphone au +33-(0)9-51-01-10-15 ou sur le formulaire de contact de la Société en indiquant précisément les raisons pour lesquelles il contacte la Société.

Pour faire jouer les garanties prévues l’article 13 des présentes CGV, le Client devra également adresser un courrier recommandé avec demande d’avis de réception à la Société à l’adresse suivante : BIGWAX DISTRIBUTION – 26, rue Blaise Pascal – 79000 Niort, et respecter les conditions de retour des Produits telles que décrites ci-dessus.

Article 14 – Limitation de responsabilité

Mis à part les cas de défaut de conformité ou de vices cachés ou de garantie contractuelle prévus à l’article 13 des présentes CGV ou de droit de rétractation tel que prévu à l’article 11 des présentes CGV, aucune réclamation et/ou réserve ultérieure ne sera admise par la Société, après réception des Produits par le Client.

Mis à part les cas de garantie tels que prévus à l’article 13 des présentes CGV, la Société n’est soumise qu’à une obligation de moyen vis-à-vis du Client et en cas d'insatisfaction du Client pour quelque raison que ce soit, il ne pourra prétendre à une quelconque indemnité autre que le remboursement de sa commande.

Article 15 – Force majeure

Conformément à l’article 1148 du Code civil, la Société ne saurait être tenue pour responsable de l’inexécution d’une de ses obligations issues du contrat de vente, du retard dans l’exécution d’une de ses obligations ou être considérée comme fautive, dès lors que cette inexécution ou ce retard est lié à la survenance d’un évènement de force majeure, la force majeure étant définie comme "tout événement ne pouvant être surmonté, malgré une diligence raisonnable et les meilleurs efforts de la Société".

Sont notamment considérés comme des cas de force majeure ne pouvant entrainer la responsabilité de la Société tous les évènements, faits ou circonstances qui seraient imprévisibles, irrésistibles et indépendants de la volonté de la Société, comme par exemple en cas de catastrophe naturelle ou de grève d’un des prestataires utilisés par la Société.

En cas de force majeure, la Société devra en informer le Client dans les quinze (15) jours suivant la survenance de l’événement ou sa connaissance.

Un cas de force majeure ne sera pas susceptible d'engager la responsabilité de la Société en cas de retard dans l'exécution de ses Prestations.

Si un tel cas de force majeure venait à durer plus de trois (3) mois, l'un ou l'autre des Parties serait susceptible de ne pas continuer à exécuter le contrat conclu, et ce sans dommages et intérêts ou autres pénalités, la partie du contrat ayant déjà été exécutée n'étant en aucun cas résolue.

Article 16 – Propriété Intellectuelle

Tous les éléments du Site bigwax.io et les documents ou supports nécessaires à l'exécution des Prestations quels qu’ils soient son protégés par le droit d’auteur, des dessins et modèles ou des marques et des brevets. La reproduction de tout ou partie du Site bigwax.io est constitutive de contrefaçon au sens du Code de la Propriété Intellectuelle français.

Le Client garantit qu'il respectera les droits de propriété intellectuelle dont la Société serait titulaire, et s'engage à n'utiliser aucun droit appartenant à la Société sans son accord exprès.

Le Client garantit à la Société que toutes les informations qu'il lui fournit sont conformes aux dispositions légales applicables dans le pays de commercialisation des Produits commandés.

Article 17 – Informations nominatives

Les informations nominatives concernant le Client sont nécessaires à la gestion de ses commandes et aux relations commerciales qui lient le Client et la Société. Elles seront transmises aux sociétés qui contribuent à ces relations telles que celles chargées de la fabrication, de l'exécution des services et commandes pour leur gestion, exécution, traitement, de l'envoi des commandes, etc.

Ces données seront également conservées à des fins de sécurité, afin de respecter les obligations légales et réglementaires, ainsi que pour permettre à la Société de personnaliser les services que BigWax propose à ses Clients et les informations qui leurs sont adressées.

Le Client s'engage à ne fournir, dans le cadre de sa relation avec BigWax que des informations nominatives exactes, à jour, et complètes. Le Client est informé qu'il s'expose, en cas de fausses déclarations, à des sanctions civiles et/ou pénales.

Selon les choix que le Client effectue lors de la passation du contrat avec la Société, il sera susceptible de recevoir des offres de BigWax via une newsletter. Le Client peut à tout moment demander à ne plus recevoir ces offres par mail à l'adresse order@bigwax.io.

Article 18 – Droit d’accès, de rectification et d’opposition

Conformément à la loi Informatiques et Libertés du 6 janvier 1978, le Client dispose, à tout moment, d'un droit d'accès, de rectification, et d'opposition à l'ensemble des données personnelles en écrivant par courrier et justifiant de son identité, à BIGWAX DISTRIBUTION – 87 Rue du Faubourg du Temple – 75010 Paris, en nous indiquant nom, prénom, email, coordonnées et références Client. La demande du Client devra être signée et accompagnée d'une photocopie d'un titre d'identité portant la signature du Client, et préciser l'adresse à laquelle il conviendra de faire parvenir la réponse que la Société renverra. Ladite réponse sera alors envoyée au Client dans un délai de deux (2) mois suivant la réception de la demande.

De plus, vos fichiers seront archivés pendant deux (2) ans. Si vous souhaitez les récupérer, merci de nous le faire savoir par mail à l'adresse order@bigwax.io. Nous nous chargerons de vous les faire parvenir s'ils sont encore en notre possession.

En vertu de la Loi du 6 janvier 1978, la Société a fait une déclaration simplifiée NS 48 et un engagement de conformité à ladite déclaration auprès de la CNIL sous le n° [●].

La Société s’engage à ne pas divulguer à des tiers les informations communiquées par le Client sur le Site. Celles-ci sont confidentielles. Elles ne seront utilisées que pour renforcer et personnaliser la communication entre le Client et la Société notamment par des courriers électroniques d’information.

La Société ne vend donc pas, ne commercialise pas et ne loue pas à des tiers les données personnelles concernant le Client.

Le Client peut à tout moment contacter la Société et s'opposer à l'utilisation de ses données personnelles enregistrées par la Société. Pour cela il suffit d'envoyer un message via la page contact du site.

Article 19 – Divisibilité du contrat

Dans l'hypothèse ou une ou plusieurs clauses des présentes CGV deviendrai(en)t nulle(s), inopposable(s) ou inapplicable(s), la validité et l’applicabilité des autres clauses des CGV ne seront pas susceptibles d'être remise en cause.

Article 20 – Droit applicable et Litiges

La langue des présentes CGV et des contrats de vente est le français.

As part of these General Terms and Conditions (hereafter the "GTC"):

  • "Customer(s)" means the client (individual or professional consumer) of the BIGWAX DISTRIBUTION company and of the website bigwax.io (hereafter, the « Website ») who must necessarily be (i) a corporation duly registered under French law, or (ii) a individual with full legal capacity and right to contract, or (iii) a emancipated non adult individual with full legal capacity and right to contract;

Article 2 – Generalities

They govern the contractual relationship between the Company and its Customers.

Article 3 – Subject

These GTC govern the sale of Products posted online by the BIGWAX DISTRIBUTION company, limited liability company with a sole shareholder with a social capital of EUR 7.622,45, whose registered office is located at 26, rue Blaise Pascal in Niort (79000), registered at the Trade and Company Register under the number 429 734 494, duly represented by its manager, Mr Grégory Pezard (hereafter "BIGWAX DISTRIBUTION", the "Seller" or the "Company") and are concluded between, on the one hand, the BIGWAX DISTRIBUTION company, and secondly its users and Customers who wish buy Products sold on the website bigwax.io (hereafter, the "Site" ) (the Company and the Customer, hereafter together the "Parties") .

They define the terms and conditions of sale of the Company and in particular all the rights and obligations of the Parties in connection with the sale of Products to Customers of the Site by the Company.

The Company reserves the right to modify these GTC at any time and in case of changes, the Company will apply to any new order the GTC in effect at the time the order is placed, if they have been previously notified to the Customer and accepted by itself.

In the event that any provision of these GTC were to be inapplicable, the Customer and the Company recognize that their relations will be governed by the practices and customs recognized as being in force in the distance selling sector by the French law, doctrine and jurisprudence, the parties expressly recognize as applicable to these GTC.

Article 4 – Products on sale

The Company sells vinyl type products, CDs, phonographic media, clothes, screen-printings and more generally all types of goods and merchandises in relation to musical and artistic universe.

Article 5 – Availability of Products on sale

The Products posted online for sale on the Site by the Company are valid only as long as the offer remains online on the Site of the Company, it being specified that the Products remains online until stocks are exhausted.

The responsibility of the Company can not be engaged if a Customer has placed an order for an unavailable Product, it being precised that the Company can not guarantee to the Customer the maintenance of Products sold on the Site during a given period and that in the event that a Customer ordered an unavailable Product before its withdrawal from the Site by the Company, BIGWAX DISTRIBUTION will alert the customer by email of the unavailability of the Product ordered and of the order cancellation.

In case the order placed by the Customer involve several Products, the Company undertakes to only cancel the order of the unavailable Product and to send to the Customer the other products he ordered.

If a customer were to place an order for an unavailable Product, the Company undertakes, at the Customer's choice, either (i) to repay the full amount of the order placed, or (ii) to send to the Customer, by email, a voucher for the full amount of the unavailable Product ordered, within a period of thirty (30) days from the cancellation of the order by the Company.

Article 6 – Procurement process order

Orders can be placed:

  • On Internet, via the Site bigwax.io ;
  • By email at the following address: order@bigwax.io;
  • By phone, from Monday to Friday and from 10 am to 1 pm and from 2 pm to 6 pm, at the following number: +33-(0)9-50-14-23-28;
  • By mail to the Company at the following address: 87, rue du Faubourg du Temple, 75010 Paris.

Any order of Products sold by the Company by the Customer shall complies with the following process:

  1. The Client will make its choice from among the Products he wish buy and will select them by clicking on the button "Add to Cart";
  2. The Customer will then have the opportunity to check his order by clicking on "My Cart";
  3. A summary of the order will then be offered to the Customer listing all the Products he has ordered and the amount of the shipping costs depending on the delivery method chosen by the Customer for the order to be sent by the Company;
  4. Once these first steps validated and the summary of the order verified by the Customer, he will then have to fill in the information required by the Company in the appropriate form, ie: name, surname, contact information (country, address, zip code, city, phone number) and email address;
  5. The Client then validates his order of the Product(s) it has previously added to the his cart by clicking the button "Next Step", in order to comply with the "double click" procedure;
  6. Once this new step validated, a "Checkout" page summarizing the Customer's order will appear and then the Customer will have to carefully check that all the information on the order are accurate (including its delivery information).   7. Once this step validated, the Customer will then have to click on the « Paypal" button to make the payment;
  8. The Customer warrants to the Company that he is perfectly entitled to use the selected payment method ie Paypal. In addition, the Company may under no circumstances be held liable for any disputes between the Customer and the Paypal company, provided that the terms and conditions of use of PayPal will apply to the Client for the entire payment process.
  9. Once the order is confirmed, the customer will receive a confirmation email summarizing the order to the email address he has previously indicated.

Article 7 – Prices

Prices of products sold on the Site are expressed in Euros and include French value added tax (VAT) in force at the time of registration of the order, excluding delivery costs and any potential costs of treatment or eco-participation, which are the ones indicated to the Customer at the time of the order and that will have, if any, to be paid extra.

Regarding shipping and delivery costs, these are given to the Customer when placing the order, before its validation and payment by the Customer, and are included in the total price payable by the Customer.

The Company reserves the right to temporarily or permanently close the account of the Customer in case of non-compliance by the latter of these GTC regarding the payment of the price of the order placed with the Company, particularly in case of fraud or attempted fraud by the Customer, or of any payment incident, to claim to the Customer any payment of damages which might have been caused by such behavior, and to refuse any new order to a Customer with whom there is an ongoing dispute.

The Company reserves the right to change its prices at any time. This change will be reported before any new order, and the Products will be charged based on the price in effect at the time of confirmation of the order by the Customer.

The products remain the property of the Company until the Company receives full payment.

Article 8 – Payment methods and payment

To set the order, the Customer can use any of the following payment methods:

– Cash: Customer may pay his order by depositing its cash payment to the Company at the following address: 87, rue du Faubourg du Temple - 75010 - Paris, it being precised that if such cash payment is chosen by the Customer, no delivery costs will be added to the order price by the Company;

– Credit cards: as part of the payment procedure provided by Paypal, all credit cards accepted by Paypal, as they are detailed in the Terms and Conditions of Use of Paypal may be accepted;

– Cheque: any payment can be made by cheque sent to the Company and must be accompanied by a photocopy of the identity card of the Customer and by the references of the order. This check should be made out to the order of Bigwax and sent to the following address: Bigwax - 87, rue du Faubourg du Temple - 75010 - Paris. Only cheques related to a bank located in France are accepted. In case the Customer would pay by cheque, he must inform the Company in advance by email or telephone and the Customer's order will be reserved by the Company until the receipt of the cheque and validation of the order by the Company. In the absence of receipt of a cheque after a period of seven (7) days, the Customer's order will be canceled by the Company, and the Company can not be held liable for this cancellation. The cheque cashing will be conducted upon receipt. The Company reserves the right not to accept the Customer's order and not to make delivery as long as cashing the cheque is not effective;

– Bank Transfer: payments can be made by bank transfer sent to the Company. In case the Customer would pay by bank transfer, he must inform the company in advance by email or telephone and the Customer's order will be reserved by the Company until the transfer and the receipt of confirmation of the order by the Company. In the absence of receipt of bank transfer after a period of five (5) days, the Customer's order will be canceled by the Company and the Company can not be held liable for this cancellation. The Company reserves the right not to accept the Customer's order and not to make delivery as long as the bank transfer is not effective. The Company reserves the right not to accept the Customer's order and not to make delivery as Paypal payment is not effective. The Customer must first have created a Paypal account, it being precised that this procedure will be governed by the terms and conditions of use of PayPal.

The Company reserves the right to finally not propose one or more payment method(s) listed above for any reason, including particularly: suspicion of fraudulent order, technical reasons or reasons which are beyond our control, and past or ongoing litigation.

Online payments on the Site or by phone to the Company are made via a secure payment platform to ensure the safety of purchases on the Site and to fight against fraud.

Contact and payment information of the Customer, which are provided when he makes an order, will never be transmitted on a clear network, and will never be disclosed or retained by the Company.

Article 9 – Delivery

The delivery of the Products ordered by the Customer is carried out worldwide.

Delivery is made by "Lettre Verte" ("Green Letter") (service offered by "La Poste") for all orders to mainland France (including Corsica) and by carrier via the "24h DHL Express" service for all orders from other countries than France.

The Company can in no way be held responsible for any damage that may be caused or any dispute that may arise from the services offered by "La Poste" or DHL.

In case of delivery by a carrier that requires making an appointment with the Customer, it will contact the Customer as soon as possible. The Company cannot be held responsible for delivery delays caused by an unavailability of the Customer after several appointments attempts made by the carrier.

The conditions, costs and time are different depending on the mode and/or the chosen place of delivery, and can generate an additional invoice. This information and the total amount of the order are clearly indicated when the Customer chooses the method of delivery and on the order summary page, as well as during the validation of the order.

Products delivered by carrier must be delivered against signature.

For information only, delivery times may vary depending on the destination country. They are usually of two (2) to three (3) working days for France, three (3) to seven (7) working days in Europe, and one (1) to two (2) week(s) for the rest of the world.

These deadlines will run only from the provision by the Customer of the elements requested by the Company, provided that the Customer shall fulfill carefully when he orders all the fields of the form requested by the Company to complete the delivery, ie the delivery details (name, first name and full address), and any information that could be useful for the delivery to be completed by the delivery partners of the Company (email, phone, etc.).

The Company may under no circumstances be held liable for impossibility of delivery that would be caused by an error, inaccuracy or false information related to information and delivery details of the Customer, and, as the case may be, any further deliveries which could need to be performed again by the Company will be at Customer's expense, which will likely be contacted by email by the Company for the payment of these new costs. In case of non-payment of these new delivery expenses, the Company reserves the right not to proceed with the delivery of the order.

The possible delays do not entitle the Customer to cancel the order, to refuse the Product(s) or to claim for damages.

Article 10 – Receipt of Products and transfer of the risks and of the ownership

Except as expressly provided, the transfer of ownership of the Product(s) will automatically result in the transfer of risks.

Products are delivered to the address indicated by the Customer at the time of the order. The Company disclaims any liability for possible delays of deliveries which are due to the carriers services, in case of loss of the Products ordered attributable to the carriers services, in case of strike of the carriers services, it being specified that the risks of transport of the Products shall be borne by the Customer which, in case of dispute, will have to make a motivated claim to the services of the carrier concerned.

In all cases, it is up to the Customer to perform, when he receives the order and the Products, in the presence of the carrier or the deliverer, the compliance controls with the carrier or the deliverer under the conditions required by law. The Customer must check and notify to the carrier and the Company any reservations on the delivered Product(s) (damaged or already open package, missing package or product(s), etc.), and apply all written reservations on the delivery note.

In case of any doubt about the condition of the package of the order, or in case of any problems with the packages and/or the Product(s) delivered, the Customer must contact the Company by email at the following address order@bigwax.io or by phone at the following number +33 (0)9-51-01-10-15, in order to find an adequate solution or, as the case may be, to proceed to a new manufacture and delivery of the Product(s), or to a refund if the conditions set out in these GTC are met.

The Customer will only own the Products ordered after the full payment of the order, in principal, costs and accessories.

Article 11 – Right of withdrawal

In accordance with Articles L. 121-20 et seq. of the French Consumer Code, the Customer has a right of withdrawal and the possibility to return the Products ordered on the Site of the Company that, for a period of fourteen (14) clear days from the delivery date of the order, provided that the postmark (or if applicable, DHL mark) will prevail.

Upon exercise by the Customer of this right of withdrawal, the Products must be necessarily returned by the Customer to the Company, at its expense, by post or by carrier (DHL or UPS type) at the following address:

Products returned by the Customer must be in their original condition, namely in their new condition and in the packaging in which they were delivered by the Company.

When the Company will receive the returned Products within the period and in accordance with the previous paragraph, the Company will refund the Client automatically by (i) crediting the PayPal account used for payment or (ii) returning a cheque to the address of the Customer, within thirty (30) days from the receipt by the Company of the withdrawal request related to the Products ordered by the Customer, it being specified that the refund price will include the price of the Product(s) ordered by the Customer, but not the costs of the delivery by the Company to the Customer or the costs of the return delivery made by the Customer to the Company.

Article 12 – Conpliance of the Products

The Company will detail the Products that sold on its Site as accurately as possible. All information and data relating to the Products that are indicated by the Company on each Products are none other than those which have previously been communicated to the Company by the suppliers’ partners of the Company with which the Company acquires such Products.

In this context, the Company shall in no event be held responsible due to error(s) or omission(s) related to the description of the Products sold.

Photographs of the Products on sale are displayed by the Company for information only.

In case a product that was ordered by the Customer and delivered by the Company to the Customer is noncompliant with the information described on the Site, it will then be entitled to return it to the Company, within a maximum period of thirty (30) days from the receipt of the noncompliant Product.

As the case may be, the Customer will have the choice between (i) the full refund of the Product price within thirty (30) days from its claim and the return of the noncompliant Product or (ii) within the limits of available stocks, the delivery of a new similar or identical Product to the one he ordered and that would have been noncompliant, it being specified that in this case, return costs and the possible new delivery costs of the noncompliant Product will in this case be borne by the Company and will be, in the event the Client would have advanced such costs, refunded to the Customer, within a period of thirty (30) days from receipt of the noncompliant Product by the Company .

This guarantee of compliance of the Products offered to the Customer applies in addition to the right of withdrawal which the Customer benefits as it is provided for in Article 11 of these GTC.

Article 13 – Liability of the Company

Article 13.1 – Warranties

Basically, the liability of the Company is limited to the proper implementation of its Services in accordance with the agreement and/or the order. The Company undertakes to carry out with all the care of a professional, and a good father, and is only subject to an obligation of means.

However, the Customer benefits, in accordance with legal and regulatory provisions in force (in particular the Articles L. 211-1 to L. 212-2 of the French Consumer Code, and Article 1641 to 1649 of the French Civil Code), from a guarantee in case of lack of conformity of products, from a guarantee against hidden defects of the Products and from a contractual guarantee that, after the delivery of the ordered Products and when full payment of its order is made.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.A – Legal warranty of confromity of the Products ordered

Pursuant to the existing legal provisions under the French Consumer Code, the Company is required to deliver Products which are compliant to the contract it concluded with the Customer and to the ones the Customer ordered on the Site.

The Company shall be held liable for any lack of compliance of the Products delivered to the Customer that, for a period of two (2) years from the delivery of the Products by the Company to the Customer.

In the event that a Product would come to be declared noncompliant in the said period mentioned above, the Customer will have the choice between requesting (i) the repair of the noncompliant Product by the Company or its contractors and/or suppliers or (ii) the replacement of the noncompliant Product by the Company, which will in this case have to replace the said noncompliant Product, it being specified that the Company shall not be bound to respect the choice of the Customer if (i) it would be impossible to proceed with the replacement of the noncompliant Product or (ii ) the replacement cost of noncompliant Product would be clearly disproportionate to the value of the Product.

In any event, the Customer may (i) require to get refund of the price of the Product declared noncompliant which would have been returned by the Customer to the Company, or (ii) require to be refunded of a part of the price of the Product if the Customer wish to keep the noncompliant Product, provided that the Customer fulfills the conditions stipulated in Article L.211-10 of the French Consumer Code, namely: (i) if the solution requested by the Customer (that is to say, the repair or the replacement of the noncompliant Product) can not be satisfied within a period of one (1) month after the claim of the Customer, or (ii) if the solution requested by the Customer can not be satisfied without the Customer suffering a major drawback given the nature of the Product or the use of the Product he researches.

However, the refund of the declared noncompliant Product could not be made if the non-compliance raised by the Customer is minor.

The noncompliance need to be reported to the Company by the Customer in accordance with the procedure described in Article 13.2 of the GTC hereof.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.B – Legal warranty against hidden defects to the products ordered

The Company is also bound to provide for the security of the Products sold to the Customer against defects and hidden defects that would or would be likely to render the Products unfit for which it was intended.

The Company may be held liable for defects or hidden defects of the Products, that for a period of two (2) years from the delivery of the Products by the Company to the Customer.

To benefit from this warranty, the Customer must notify to the Company all the defects or hidden defects of the Product(s) he would have ordered that, as soon as it appears by contacting the customer service of the Company in accordance with the procedure described in Article 13.2 of the GTC hereof.

Product’s return costs are borne by the Company.

In the event that the Customer chooses the replacement of Products as part of the exercise of this legal warranty, the shipping costs of the new Products will be borne by the Company.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.C – Contractual Warranty

Some Products may allow the Consumer to benefit from a contractual warranty.

This warranty will be indicated on the description of the Product and the Customer will not be allowed to ask for a warranty that goes beyond the one indicated on the ordered Product’s description.

If there is a problem with a Product, the Customer must keep the order invoice sent by the Company and contact its customer service in the same way as the one provided for in Article 13.2 hereof.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from the warranty.

Article 13.2 – Contact in case of implementation of the above warranties

For any problem or defect in the order and to play the warranties provided for in Article 13 of these GTC, the Customer undertakes to make the necessary reservations to the Company, that as soon as the defect on Product appears, by contacting its customer service by email at the following address: order@bigwax.io or by phone at the following number: +33-(0)9-50-14-23-28 or through the Company's contact form, indicating precisely the reasons why he contacted the Company.

To benefit from the warranties provided for in Article 13 of these GTC, the Customer shall also send a registered letter with acknowledgment of receipt to the Company at the following address: Bigwax - 87 Rue du Faubourg du Temple - 75010 Paris, and respect the return conditions of the Products as described above.

Article 14 – Limitation of liability

Apart from the case of non-conformity or hidden defects or contractual warranty provided for in Article 13 of these GTC, or withdrawal as provided for in Article 11 of these GTC, no claims and/or subsequent reservation will be accepted by the Company, after receipt of the Products by the Customer.

Apart from the case of warranties as provided in Article 13 of these GTC, the Company is not subject to an obligation of means vis-à-vis the Customer and in case of Customer dissatisfaction for any reason whatsoever, he will not be entitled to any compensation other than the reimbursement of his order.

Article 15 – Force majeure

Pursuant to Article 1148 of the Civil Code, the Company shall not be held liable for breach of its obligations under the sale contract, the delay in the execution of any of its obligations or be considered faulty, as soon as such failure or delay is linked to the occurrence of an event of force majeure, force majeure being defined as "any event that could not be overcome despite a reasonable diligence and the best efforts of the Company."

If such force majeure were to last more than three (3) months, one or the other of the Parties would likely not continue to execute the concluded contract, that without any damages or other interests or penalties, it being that the part of the contract which has already been executed will not be cancelled in any case.

Article 16 – Intellectual property

All elements of the Site bigwax.io and the documents or materials needed to perform the Services whatsoever are protected by copyright, designs and drawings, trademarks and patents. Reproduction of all or part of the bigwax.io Site constitutes infringement under the French Intellectual Property Code.

The Customer guarantees that he will respect the intellectual property rights owned by the Company, and agrees not to use any rights belonging to the Company without its express agreement.

The Customer warrants to the Company that all the information he provides comply with the legal provisions applicable in the country where the products ordered are sold.

Article 17 – Personal Information

The personal information of the Customer are required for the management of its orders and for the business relationships between the Customer and the Company. They will be sent to the companies that contribute to these relationships such as those responsible for the manufacture, the delivery of services and orders related to their management, execution, processing, shipping, etc.

These data will also be stored for security purposes, to meet legal and regulatory requirements, and to enable the Company to customize the services BigWax offers to its Customers and the information which are addressed to them.

The Customer undertakes to provide, as part of its relationship with the Company, only accurate, current, and complete personal information. The Customer is informed that it is exposed, in the event of misrepresentation or false statements, to civil and/or criminal penalties.

Depending on the Customer’s choices during the conclusion of the contract with the Company, it will be likely to receive some BigWax offers via a newsletter. The Customer may at any time request not to receive these offers by email at order@bigwax.io.

Article 18 – Right to access, to rectify and to delete

In accordance with the Data Protection Law of January 6, 1978, the Customer has, at any time, a right of access, rectification, and opposition to all personal data by writing a letter, justifying its identity, to BigWax - 87 Rue du Faubourg du Temple - 75010 Paris, by indicating name, first name, email, address and customer references. Customer's request must be signed and accompanied by a photocopy of an identity card or passport signed by the Customer and specify the address to which the Company should send the reply. As part of these General Terms and Conditions (hereafter the "GTC"):

Article 3 – Subject

These GTC govern the sale of Products posted online by the BIGWAX DISTRIBUTION company, limited liability company with a sole shareholder with a social capital of EUR 7.622,45, whose registered office is located at 26, rue Blaise Pascal in Niort (79000), registered at the Trade and Company Register under the number 429 734 494, duly represented by its manager, Mr Grégory Pezard (hereafter "BIGWAX DISTRIBUTION", the "Seller" or the "Company") and are concluded between, on the one hand, the BIGWAX DISTRIBUTION company, and secondly its users and Customers who wish buy Products sold on the website bigwax.io (hereafter, the "Site" ) (the Company and the Customer, hereafter together the "Parties") .

They define the terms and conditions of sale of the Company and in particular all the rights and obligations of the Parties in connection with the sale of Products to Customers of the Site by the Company.

The Company reserves the right to modify these GTC at any time and in case of changes, the Company will apply to any new order the GTC in effect at the time the order is placed, if they have been previously notified to the Customer and accepted by itself.

Article 4 – Products on sale

The Company sells vinyl type products, CDs, phonographic media, clothes, screen-printings and more generally all types of goods and merchandises in relation to musical and artistic universe.

Article 5 – Availability of Products on sale

The Products posted online for sale on the Site by the Company are valid only as long as the offer remains online on the Site of the Company, it being specified that the Products remains online until stocks are exhausted.

The responsibility of the Company can not be engaged if a Customer has placed an order for an unavailable Product, it being precised that the Company can not guarantee to the Customer the maintenance of Products sold on the Site during a given period and that in the event that a Customer ordered an unavailable Product before its withdrawal from the Site by the Company, BIGWAX DISTRIBUTION will alert the customer by email of the unavailability of the Product ordered and of the order cancellation.

In case the order placed by the Customer involve several Products, the Company undertakes to only cancel the order of the unavailable Product and to send to the Customer the other products he ordered.

If a customer were to place an order for an unavailable Product, the Company undertakes, at the Customer's choice, either (i) to repay the full amount of the order placed, or (ii) to send to the Customer, by email, a voucher for the full amount of the unavailable Product ordered, within a period of thirty (30) days from the cancellation of the order by the Company.

Article 6 – Procurement process order

Any order of Products sold by the Company by the Customer shall complies with the following process:

  1. The Client will make its choice from among the Products he wish buy and will select them by clicking on the button "Add to Cart";
  2. The Customer will then have the opportunity to check his order by clicking on "My Cart";
  3. A summary of the order will then be offered to the Customer listing all the Products he has ordered and the amount of the shipping costs depending on the delivery method chosen by the Customer for the order to be sent by the Company;
  4. Once these first steps validated and the summary of the order verified by the Customer, he will then have to fill in the information required by the Company in the appropriate form, ie: name, surname, contact information (country, address, zip code, city, phone number) and email address;

  6.   7. Once this step validated, the Customer will then have to click on the « Paypal" button to make the payment;
  8. The Customer warrants to the Company that he is perfectly entitled to use the selected payment method ie Paypal. In addition, the Company may under no circumstances be held liable for any disputes between the Customer and the Paypal company, provided that the terms and conditions of use of PayPal will apply to the Client for the entire payment process.
  9. Once the order is confirmed, the customer will receive a confirmation email summarizing the order to the email address he has previously indicated.

Article 7 – Prices

Prices of products sold on the Site are expressed in Euros and include French value added tax (VAT) in force at the time of registration of the order, excluding delivery costs and any potential costs of treatment or eco-participation, which are the ones indicated to the Customer at the time of the order and that will have, if any, to be paid extra.

Regarding shipping and delivery costs, these are given to the Customer when placing the order, before its validation and payment by the Customer, and are included in the total price payable by the Customer.

Article 8 – Payment methods and payment

To set the order, the Customer can use any of the following payment methods:

– Cash: Customer may pay his order by depositing its cash payment to the Company at the following address: 87, rue du Faubourg du Temple - 75010 - Paris, it being precised that if such cash payment is chosen by the Customer, no delivery costs will be added to the order price by the Company;

– Credit cards: as part of the payment procedure provided by Paypal, all credit cards accepted by Paypal, as they are detailed in the Terms and Conditions of Use of Paypal may be accepted;

– Cheque: any payment can be made by cheque sent to the Company and must be accompanied by a photocopy of the identity card of the Customer and by the references of the order. This check should be made out to the order of Bigwax and sent to the following address: Bigwax - 87, rue du Faubourg du Temple - 75010 - Paris. Only cheques related to a bank located in France are accepted. In case the Customer would pay by cheque, he must inform the Company in advance by email or telephone and the Customer's order will be reserved by the Company until the receipt of the cheque and validation of the order by the Company. In the absence of receipt of a cheque after a period of seven (7) days, the Customer's order will be canceled by the Company, and the Company can not be held liable for this cancellation. The cheque cashing will be conducted upon receipt. The Company reserves the right not to accept the Customer's order and not to make delivery as long as cashing the cheque is not effective;

In case the Customer would pay by bank transfer, he must inform the company in advance by email or telephone and the Customer's order will be reserved by the Company until the transfer and the receipt of confirmation of the order by the Company. In the absence of receipt of bank transfer after a period of five (5) days, the Customer's order will be canceled by the Company and the Company can not be held liable for this cancellation. The Company reserves the right not to accept the Customer's order and not to make delivery as long as the bank transfer is not effective. – Paypal payment: any payment can be made by PayPal, within the limit of seven hundred and fifty (750) euros. For any Paypal payment, the Customer order will be reserved by the Company until receipt of transfer and confirmation of the order by the Company. In the absence of receipt of Paypal payment after a period of five (5) days, the Customer's order will be canceled by the Company and the Company can not be held liable for this cancellation. The Company reserves the right not to accept the Customer's order and not to make delivery as Paypal payment is not effective. This bank transfer via PayPal must be sent to the following address: order@bigwax.io. The Customer must first have created a Paypal account, it being precised that this procedure will be governed by the terms and conditions of use of PayPal.

The Company reserves the right to finally not propose one or more payment method(s) listed above for any reason, including particularly: suspicion of fraudulent order, technical reasons or reasons which are beyond our control, and past or ongoing litigation.

Online payments on the Site or by phone to the Company are made via a secure payment platform to ensure the safety of purchases on the Site and to fight against fraud.

Contact and payment information of the Customer, which are provided when he makes an order, will never be transmitted on a clear network, and will never be disclosed or retained by the Company.

Article 9 – Delivery

The delivery of the Products ordered by the Customer is carried out worldwide.

Delivery is made by "Lettre Verte" ("Green Letter") (service offered by "La Poste") for all orders to mainland France (including Corsica) and by carrier via the "24h DHL Express" service for all orders from other countries than France.

The Company can in no way be held responsible for any damage that may be caused or any dispute that may arise from the services offered by "La Poste" or DHL.

In case of delivery by a carrier that requires making an appointment with the Customer, it will contact the Customer as soon as possible. The Company cannot be held responsible for delivery delays caused by an unavailability of the Customer after several appointments attempts made by the carrier.

The conditions, costs and time are different depending on the mode and/or the chosen place of delivery, and can generate an additional invoice. This information and the total amount of the order are clearly indicated when the Customer chooses the method of delivery and on the order summary page, as well as during the validation of the order.

Products delivered by carrier must be delivered against signature.

For information only, delivery times may vary depending on the destination country. They are usually of two (2) to three (3) working days for France, three (3) to seven (7) working days in Europe, and one (1) to two (2) week(s) for the rest of the world.

These deadlines will run only from the provision by the Customer of the elements requested by the Company, provided that the Customer shall fulfill carefully when he orders all the fields of the form requested by the Company to complete the delivery, ie the delivery details (name, first name and full address), and any information that could be useful for the delivery to be completed by the delivery partners of the Company (email, phone, etc.).

The Company may under no circumstances be held liable for impossibility of delivery that would be caused by an error, inaccuracy or false information related to information and delivery details of the Customer, and, as the case may be, any further deliveries which could need to be performed again by the Company will be at Customer's expense, which will likely be contacted by email by the Company for the payment of these new costs. In case of non-payment of these new delivery expenses, the Company reserves the right not to proceed with the delivery of the order.

The possible delays do not entitle the Customer to cancel the order, to refuse the Product(s) or to claim for damages.

Article 10 – Receipt of Products and transfer of the risks and of the ownership

Except as expressly provided, the transfer of ownership of the Product(s) will automatically result in the transfer of risks.

Products are delivered to the address indicated by the Customer at the time of the order. The Company disclaims any liability for possible delays of deliveries which are due to the carriers services, in case of loss of the Products ordered attributable to the carriers services, in case of strike of the carriers services, it being specified that the risks of transport of the Products shall be borne by the Customer which, in case of dispute, will have to make a motivated claim to the services of the carrier concerned.

In all cases, it is up to the Customer to perform, when he receives the order and the Products, in the presence of the carrier or the deliverer, the compliance controls with the carrier or the deliverer under the conditions required by law. The Customer must check and notify to the carrier and the Company any reservations on the delivered Product(s) (damaged or already open package, missing package or product(s), etc.), and apply all written reservations on the delivery note.

In case of any doubt about the condition of the package of the order, or in case of any problems with the packages and/or the Product(s) delivered, the Customer must contact the Company by email at the following address order@bigwax.io or by phone at the following number +33 (0)9-51-01-10-15, in order to find an adequate solution or, as the case may be, to proceed to a new manufacture and delivery of the Product(s), or to a refund if the conditions set out in these GTC are met.

The Customer will only own the Products ordered after the full payment of the order, in principal, costs and accessories.

Article 11 – Right of withdrawal

In accordance with Articles L. 121-20 et seq. of the French Consumer Code, the Customer has a right of withdrawal and the possibility to return the Products ordered on the Site of the Company that, for a period of fourteen (14) clear days from the delivery date of the order, provided that the postmark (or if applicable, DHL mark) will prevail.

Upon exercise by the Customer of this right of withdrawal, the Products must be necessarily returned by the Customer to the Company, at its expense, by post or by carrier (DHL or UPS type) at the following address:

Products returned by the Customer must be in their original condition, namely in their new condition and in the packaging in which they were delivered by the Company.

When the Company will receive the returned Products within the period and in accordance with the previous paragraph, the Company will refund the Client automatically by (i) crediting the PayPal account used for payment or (ii) returning a cheque to the address of the Customer, within thirty (30) days from the receipt by the Company of the withdrawal request related to the Products ordered by the Customer, it being specified that the refund price will include the price of the Product(s) ordered by the Customer, but not the costs of the delivery by the Company to the Customer or the costs of the return delivery made by the Customer to the Company.

Article 12 – Conpliance of the Products

The Company will detail the Products that sold on its Site as accurately as possible. All information and data relating to the Products that are indicated by the Company on each Products are none other than those which have previously been communicated to the Company by the suppliers’ partners of the Company with which the Company acquires such Products.

In this context, the Company shall in no event be held responsible due to error(s) or omission(s) related to the description of the Products sold.

Photographs of the Products on sale are displayed by the Company for information only.

In case a product that was ordered by the Customer and delivered by the Company to the Customer is noncompliant with the information described on the Site, it will then be entitled to return it to the Company, within a maximum period of thirty (30) days from the receipt of the noncompliant Product.

As the case may be, the Customer will have the choice between (i) the full refund of the Product price within thirty (30) days from its claim and the return of the noncompliant Product or (ii) within the limits of available stocks, the delivery of a new similar or identical Product to the one he ordered and that would have been noncompliant, it being specified that in this case, return costs and the possible new delivery costs of the noncompliant Product will in this case be borne by the Company and will be, in the event the Client would have advanced such costs, refunded to the Customer, within a period of thirty (30) days from receipt of the noncompliant Product by the Company .

This guarantee of compliance of the Products offered to the Customer applies in addition to the right of withdrawal which the Customer benefits as it is provided for in Article 11 of these GTC.

Article 13 – Liability of the Company

Article 13.1 – Warranties

Basically, the liability of the Company is limited to the proper implementation of its Services in accordance with the agreement and/or the order. The Company undertakes to carry out with all the care of a professional, and a good father, and is only subject to an obligation of means.

However, the Customer benefits, in accordance with legal and regulatory provisions in force (in particular the Articles L. 211-1 to L. 212-2 of the French Consumer Code, and Article 1641 to 1649 of the French Civil Code), from a guarantee in case of lack of conformity of products, from a guarantee against hidden defects of the Products and from a contractual guarantee that, after the delivery of the ordered Products and when full payment of its order is made.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.A – Legal warranty of confromity of the Products ordered

Pursuant to the existing legal provisions under the French Consumer Code, the Company is required to deliver Products which are compliant to the contract it concluded with the Customer and to the ones the Customer ordered on the Site.

The Company shall be held liable for any lack of compliance of the Products delivered to the Customer that, for a period of two (2) years from the delivery of the Products by the Company to the Customer.

In the event that a Product would come to be declared noncompliant in the said period mentioned above, the Customer will have the choice between requesting (i) the repair of the noncompliant Product by the Company or its contractors and/or suppliers or (ii) the replacement of the noncompliant Product by the Company, which will in this case have to replace the said noncompliant Product, it being specified that the Company shall not be bound to respect the choice of the Customer if (i) it would be impossible to proceed with the replacement of the noncompliant Product or (ii ) the replacement cost of noncompliant Product would be clearly disproportionate to the value of the Product.

In any event, the Customer may (i) require to get refund of the price of the Product declared noncompliant which would have been returned by the Customer to the Company, or (ii) require to be refunded of a part of the price of the Product if the Customer wish to keep the noncompliant Product, provided that the Customer fulfills the conditions stipulated in Article L.211-10 of the French Consumer Code, namely: (i) if the solution requested by the Customer (that is to say, the repair or the replacement of the noncompliant Product) can not be satisfied within a period of one (1) month after the claim of the Customer, or (ii) if the solution requested by the Customer can not be satisfied without the Customer suffering a major drawback given the nature of the Product or the use of the Product he researches.

However, the refund of the declared noncompliant Product could not be made if the non-compliance raised by the Customer is minor.

The noncompliance need to be reported to the Company by the Customer in accordance with the procedure described in Article 13.2 of the GTC hereof.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.B – Legal warranty against hidden defects to the products ordered

The Company is also bound to provide for the security of the Products sold to the Customer against defects and hidden defects that would or would be likely to render the Products unfit for which it was intended.

The Company may be held liable for defects or hidden defects of the Products, that for a period of two (2) years from the delivery of the Products by the Company to the Customer.

To benefit from this warranty, the Customer must notify to the Company all the defects or hidden defects of the Product(s) he would have ordered that, as soon as it appears by contacting the customer service of the Company in accordance with the procedure described in Article 13.2 of the GTC hereof.

Product’s return costs are borne by the Company.

In the event that the Customer chooses the replacement of Products as part of the exercise of this legal warranty, the shipping costs of the new Products will be borne by the Company.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from this warranty.

Article 13.1.C – Contractual Warranty

Some Products may allow the Consumer to benefit from a contractual warranty.

This warranty will be indicated on the description of the Product and the Customer will not be allowed to ask for a warranty that goes beyond the one indicated on the ordered Product’s description.

If there is a problem with a Product, the Customer must keep the order invoice sent by the Company and contact its customer service in the same way as the one provided for in Article 13.2 hereof.

The modified or repaired Products by the Customer or any person other than the supplier of the product are excluded from the warranty.

Article 13.2 – Contact in case of implementation of the above warranties

For any problem or defect in the order and to play the warranties provided for in Article 13 of these GTC, the Customer undertakes to make the necessary reservations to the Company, that as soon as the defect on Product appears, by contacting its customer service by email at the following address: order@bigwax.io or by phone at the following number: +33-(0)9-50-14-23-28 or through the Company's contact form, indicating precisely the reasons why he contacted the Company.

To benefit from the warranties provided for in Article 13 of these GTC, the Customer shall also send a registered letter with acknowledgment of receipt to the Company at the following address: Bigwax - 87 Rue du Faubourg du Temple - 75010 Paris, and respect the return conditions of the Products as described above.

Article 14 – Limitation of liability

Apart from the case of non-conformity or hidden defects or contractual warranty provided for in Article 13 of these GTC, or withdrawal as provided for in Article 11 of these GTC, no claims and/or subsequent reservation will be accepted by the Company, after receipt of the Products by the Customer.

Apart from the case of warranties as provided in Article 13 of these GTC, the Company is not subject to an obligation of means vis-à-vis the Customer and in case of Customer dissatisfaction for any reason whatsoever, he will not be entitled to any compensation other than the reimbursement of his order.

Article 15 – Force majeure

Pursuant to Article 1148 of the Civil Code, the Company shall not be held liable for breach of its obligations under the sale contract, the delay in the execution of any of its obligations or be considered faulty, as soon as such failure or delay is linked to the occurrence of an event of force majeure, force majeure being defined as "any event that could not be overcome despite a reasonable diligence and the best efforts of the Company."

Are considered as cases of force majeure for which the liability of the Company can not be held all events, facts or circumstances that are unpredictable, irresistible and beyond the control of the Company, such as natural disaster or strike of one of the contractors of the Company.

In case of force majeure, the Company will inform the Customer within fifteen (15) days following the occurrence of the event or its knowledge.

A force majeure event is not likely to engage the liability of the Company in case of delay in the execution of its Services.

If such force majeure were to last more than three (3) months, one or the other of the Parties would likely not continue to execute the concluded contract, that without any damages or other interests or penalties, it being that the part of the contract which has already been executed will not be cancelled in any case.

Article 16 – Intellectual property

All elements of the Site bigwax.io and the documents or materials needed to perform the Services whatsoever are protected by copyright, designs and drawings, trademarks and patents. Reproduction of all or part of the bigwax.io Site constitutes infringement under the French Intellectual Property Code.

The Customer guarantees that he will respect the intellectual property rights owned by the Company, and agrees not to use any rights belonging to the Company without its express agreement.

The Customer warrants to the Company that all the information he provides comply with the legal provisions applicable in the country where the products ordered are sold.

Article 17 – Personal Information

The personal information of the Customer are required for the management of its orders and for the business relationships between the Customer and the Company. They will be sent to the companies that contribute to these relationships such as those responsible for the manufacture, the delivery of services and orders related to their management, execution, processing, shipping, etc.

These data will also be stored for security purposes, to meet legal and regulatory requirements, and to enable the Company to customize the services BigWax offers to its Customers and the information which are addressed to them.

The Customer undertakes to provide, as part of its relationship with the Company, only accurate, current, and complete personal information. The Customer is informed that it is exposed, in the event of misrepresentation or false statements, to civil and/or criminal penalties.

Depending on the Customer’s choices during the conclusion of the contract with the Company, it will be likely to receive some BigWax offers via a newsletter. The Customer may at any time request not to receive these offers by email at order@bigwax.io.

Article 18 – Right to access, to rectify and to delete

In accordance with the Data Protection Law of January 6, 1978, the Customer has, at any time, a right of access, rectification, and opposition to all personal data by writing a letter, justifying its identity, to BigWax - 87 Rue du Faubourg du Temple - 75010 Paris, by indicating name, first name, email, address and customer references. Customer's request must be signed and accompanied by a photocopy of an identity card or passport signed by the Customer and specify the address to which the Company should send the reply. The said answer will be sent to the Customer within two (2) months of the receipt of the request.

Furthermore, your files will be archived for two (2) years. If you want to retrieve them, please let us know by email at the following address: order@bigwax.io. We will send them to you if they are still in our possession.

Under the Law of January 6, 1978, the Company made a compliant simplified declaration NS 48 to the CNIL under number [●].

The Company undertakes not to disclose to third parties the information provided by the Customer on the Site. These are confidential. They will only be used to reinforce and personalize communication between the Customer and the Company through email information.

Therefore, the Company does not sell, market or rent to third parties the personal data of the Customer.

The Customer may at any time contact the Company to oppose himself to the use of his personal data recorded by the Company. To do this, please simply send a message via the contact page of the Site.

Article 19 – Divisibility of the General Terms and Conditions

In the event that one or more provision(s) of these GTC will become null and void, ineffective(s) or inapplicable(s), the validity and enforceability of the remaining provisions of the GTC would not be likely to be affected, and these provisions would still be applicable.

Article 20 – Applicable law and disputes

The language of these GTC and contracts of sale is French.

These GTC are subject to French law and shall be construed, interpreted and enforced in accordance with French law in force at the date of the order placed by the Customer.

In case of any dispute, the Parties now undertake to do everything possible to try to find an amicable solution to the related dispute before initiating any proceedings or any litigation with the competent courts.

Any dispute which may arise between the Company and the Customer relating to an order or the execution or interpretation of these GTC will be the exclusive jurisdiction of competent courts of Paris.
